NON-EXCLUSIVE BEAT LICENCE AGREEMENT
Producer: Abstrakt
Contact: Abstrakt124@gmail.com
Licence Type: Non-Exclusive
1. LICENCE GRANT
Upon successful purchase, Abstrakt (“Producer”) grants the purchaser (“Licensee”) a
non-exclusive, worldwide licence to use the purchased instrumental (“Beat”) to create,
release, distribute, perform, promote and monetise an original song incorporating the Beat
(“Song”), subject to the terms of this Agreement.
The Licensee may commercially release and monetise the Song without limits on streams,
sales, downloads, music video views or earnings imposed by this licence.
The licence becomes effective upon successful payment and remains subject to the terms of
this Agreement.
2. OWNERSHIP
Abstrakt retains ownership of the original Beat and all rights in it that Abstrakt owns or
controls.
Purchasing a licence does not transfer ownership of the Beat to the Licensee.
The Licensee retains rights in their original lyrics, vocals and other original contributions to
the Song, subject to any rights belonging to other contributors.
The Licensee does not acquire exclusive ownership of the Beat or the right to prevent other
artists from using it under valid licences.
3. NON-EXCLUSIVE RIGHTS
This is a non-exclusive licence. Abstrakt retains the right to sell additional licences for the
same Beat and to permit other artists to use it.
The Licensee acknowledges that other artists may release songs using the same Beat.
Abstrakt does not guarantee that the Licensee will be the only artist using the Beat.
4. PERMITTED COMMERCIAL USE
The Licensee may use the Beat within a Song for commercial and non-commercial
purposes, including:
● Releasing the Song on streaming platforms.
● Selling digital downloads and physical releases containing the Song.
● Monetising the Song on YouTube and other social media platforms.
● Releasing music videos, visualisers and promotional content featuring the Song.
● Performing the Song live.
● Promoting, advertising and marketing the Song.
● Earning revenue from the Song without a licence-imposed earnings cap.
No additional payment to Abstrakt is required solely because the Song reaches a particular
number of streams, sales, views or earnings, unless separately agreed in writing or required
by applicable law.
These permissions apply to the Song, not to the standalone Beat.
5. RESTRICTIONS
The Licensee must not:
● Resell, sublicense, share or redistribute the original Beat as a standalone file.
● Make the original Beat available for others to download independently of an
authorised Song.
● Claim to have produced the original Beat.
● Claim exclusive ownership of the Beat.
● Register the standalone Beat with copyright enforcement or content identification
services as though the Licensee exclusively owns it.
● Make false ownership claims against Abstrakt or other authorised licensees.
● Transfer this licence to another person without Abstrakt's written permission.
● Use the Beat in a manner that infringes third-party rights or violates applicable law.
The Licensee may distribute the finished Song through legitimate music services, provided
the release complies with this Agreement.
6. PRODUCER CREDIT
The Licensee must credit the production as:
Prod. Abstrakt
Credit should be included in track metadata, release descriptions and promotional materials
where reasonably possible.
Where a platform does not provide an appropriate credit field, the Licensee should include
the credit in an available description or other reasonable location.
The Licensee must not falsely attribute production of the Beat to another person.
7. ROYALTIES AND RIGHTS IN THE SONG
The Licensee may retain revenue earned from the Song without a stream, sales, views or
earnings cap imposed by this licence.
The purchase price does not automatically establish songwriting splits or publishing
ownership. Any songwriting or publishing rights arising from the actual contributions of the
parties remain subject to applicable law and any separate written agreement.
The Licensee is responsible for arranging appropriate agreements with featured artists,
co-writers and other contributors.
No additional royalty payment to Abstrakt is due solely under this licence unless the parties
separately agree otherwise in writing or applicable law requires it.
8. CONTENT ID AND COPYRIGHT REGISTRATION
The Licensee must not register the standalone Beat as exclusively owned by them or use
automated rights-management systems to make claims against Abstrakt or other authorised
users.
The Licensee may distribute and monetise the Song through ordinary music distribution
services.
Before registering the Song with YouTube Content ID or a similar automated
rights-management service, the Licensee must obtain written permission from Abstrakt. This
restriction is intended to prevent conflicting claims arising from the Beat being licensed to
multiple artists.
9. EXCLUSIVE RIGHTS
This Agreement grants non-exclusive rights only.
The Licensee may contact Abstrakt to discuss purchasing exclusive rights. Any exclusive
arrangement must be agreed separately in writing, including its price, scope and effect on
existing licences.
An enquiry or offer to purchase exclusive rights does not create an obligation for Abstrakt to
accept.
10. BREACH OF AGREEMENT
If the Licensee materially breaches this Agreement, Abstrakt may give written notice
identifying the breach and, where appropriate, allow a reasonable opportunity to correct it.
If the breach is serious or remains unresolved, Abstrakt may pursue remedies available
under applicable law.
Any suspension or termination of the licence must comply with applicable law and any rights
that cannot lawfully be excluded.
11. NO GUARANTEE OF COMMERCIAL SUCCESS
Abstrakt does not guarantee any particular number of streams, sales, audience growth,
playlist placements or income from the Song.
Nothing in this Agreement excludes or limits statutory rights or liability that cannot lawfully be
excluded or limited.
12. GENERAL TERMS
This Agreement applies to the specific Beat purchased by the Licensee.
The Licensee should retain a copy of this Agreement and proof of purchase.
Any amendment or additional permission must be agreed in writing by both parties.
If any provision of this Agreement is found to be unenforceable, the remaining provisions will
continue to apply to the extent permitted by law.
13. GOVERNING LAW
This Agreement is governed by the laws of England and Wales, subject to any mandatory
legal protections applicable to the Licensee.
Any dispute will be handled in accordance with applicable law.
14. ACCEPTANCE
By purchasing the Beat, the Licensee agrees to the terms of this Agreement.
Abstrakt will make this Agreement available for review before purchase and provide a copy
with the digital download.
